ACCEPTANCE of TERMS and CONDITIONS

The centergize.com website is owned and operated by Dr Gadgetz. . The goal of the web site is to provide Marketing Products Online and In-Person also includes premium Google™ Adwords, MSN marketing and Yahoo Marketing account management services. Centergize WEB is a Dr Gadgetz LLC. product/service subsidiary. Other Search Engines, Online Services and Applications that are bundled with some clients will adhere also to our Term provisions.

To ensure a safe environment for all users, we have established these Terms and Conditions. In this way, you will know what you can expect from us, and what we can expect from you. By accessing any areas of Centergize.com, Drgadgetz.com and other company owned websites, you agree to be legally bound and to abide by the terms set forth below.

Dr Gadgetz LLC. has the right to revise this Terms of Service at any time without providing notice to its users. Your continued use of this Site, the Services, the Products and/or your Account shall be deemed irrevocable acceptance of those revisions.

Dr Gadgetz LLC. reserves the right to change, modify, suspend or discontinue any portion of this Site or any Contest at any time. Dr Gadgetz LLC. may also impose limits on certain features or restrict your access to parts or the entire Site in its sole discretion and without notice or liability. Please note that any amounts in the terms and conditions can vary based on the program the subscriber is enrolled.

ORDERING and PRICING

General

The prices quoted on http://www.centergize.com are in USD$ and do not include government taxes for other states (AZ Taxes may apply).

Products and Services that are listed on site can vary its pricing. Special Promotional products and services can vary in pricing . GooglePPC Campaigns are difference from of Standard SEO/SEM marketing which covers additional search engines like Yahoo, MSN and AOL including the Google Content Networks. Standard SEO Marketing prices are between $199-$399 per month. Other Services and Products will be listed on our Online Shopping Cart Catalogs.

We reserve the right to refuse to except an order request in whole or part. We will process your order once you have completed an order form and we have received your payment details. An email confirmation of our acceptance of the order will be forwarded to you.

The trial period commences from the time you sign up.

Structure and Nature of Payment.

There is a $99 non-refundable processing fee for the creation of your account with Centergize Web Services and Products  (IE Google PPC campaigns). The trial period of each of our products on promotion can vary from 14 days to  21days depending on the current promo. Please read product information on the promotional products.

Standard Products are normally not discounted at the time of posting. Please check with us on scheduled postings for this specials of our standard products and services.

An authorization for $99.00 will be automatically held by Centergize WEB and/or its subsidiary agents. This authorization you unreservedly agree to when you agree to participate in the trial offer.

The authorization fee is composed of the $10.00 initial processing fee and the first month's general account keeping fee ($99.00) at the end of 21 days. If you unsubscribe within the trial period only the $10.00 processing fee will be charged to your account, the remaining authorization for the first months service will be automatically voided. If you fail to unsubscribe within the trial period you will be automatically charged both the $10.00 processing fee and the $99.00 monthly account keeping fee. This fee structure is a non-negotiable provision of this contract and your financial arrangements with Centergize WEB and its subsidiary financial agents.

Client Non-Performance And Website Compliance Policy

Centergize WEB believes all websites are submitted for our services in Good Faith. This includes that the website is compliant with Google's content policy; that the submitter of the website is the owner, operator or authorized agent for the said website; the website/URL are functional and provide adequate content as to the services and/or products made available through the said website. Verification may be demanded of these facts.

If you fail to provide a website that complies with Google's content policy you will be charged a processing fee of $99.00. The initial authorization held will be used to make payment for this charge.

Similarly, you will be charged a processing fee of $99.00 if you provide a website that you are not the owner, operator or authorized agent for. This processing fee will likewise  be charged for domains (also referred to as URLs/Websites) that are void of content, are currently vacant or are not functioning. The initial authorization held will be used to make payment for this charge. This is a non-negotiable provision of this contract and by agreeing you understand and affirm that your URL submitted complies with all provisions and conditions of service aforementioned.

Adult Content


Centergize WEB complies with a strict advertising policy that is against the promotion of pornographic or adult materials. Any website that is assessed to be promoting such content will automatically attract a $99.00 processing fee for its removal from our system. By joining this service you understand that is an integral part of Advertising Web Service’s Website Compliance policy.

Websites Outside Of The English And French Languages

If a website is submitted that is not in the English and French languages a processing fee of $99.00 will apply. The account will be determined after the successful processing of this fee. This is in keeping with Advertising Web Service’s website compliance policy. The initial authorization held will be used to make payment for this charge.

This privacy policy sets out how “Centergize Web” uses and protects any information that you give “Centergize Web” when you use this website.“Centergize Web” is committed to ensuring that your privacy is protected. Should we ask you to provide certain information by which you can be identified when using this website, then you can be assured that it will only be used in accordance with this privacy statement. “Centergize Webe” may change this policy from time to time by updating this page. You should check this page from time to time to ensure that you are happy with any changes. This policy is effective from 10/11/2008. What we collect We may collect the following information:

PAYMENTS

Centergize.com accepts Visa and Mastercard credit cards, via our secure online ordering system. This is the quickest and most reliable way to pay for your order. Credit cards are charged when the order is placed. Other Credit cards like Discover and AMEX can not be accepted online. Credit card payments can be charged an extra 2.3% to 3.9% for processing costs.

The merchant name that will appear on your credit card statement will be either Dr Gadgetz LLC. or Padua LLC or Centergize LLC.

The Google activation fee is separate from the Centergize WEB $10 trial fee. This fee is not refundable once your account is setup with google. The Google™ click costs are separate from our monthly service fee and are billed separately by Google™. MSN and Yahoo will also have charges from $5 to $10 to activate SEO account.

ACTIVATION OF ACCOUNT

The account becomes billable and active with Centergize WEB when the billing details of the client are submitted for initial processing. Upon a successful submission of details the account is processed by Centergize WEB and Dr Gadgetz LLC. This is the official start of your service and trial period.

The account must also be submitted to Search Engine for activation, it is the responsibility of the CLIENT to make sure that their account with Centergize WEB has been activated also with the Search Engine. Centergize WEB can not be held responsible for the destruction, loss or ignorance of any correspondence coming from Centergize WEB that details the processes for activation with Google,MSN, Yahoo. The Client will be charged automatically, regardless of the status and continuing status of their account with Google. Centergize WEB can not be held responsible for any accounts left dormant. It is the responsibility of the client to seek help if there is a problem in activating the account.

CANCELLATION OF SUBSCRIPTION

1. i) Cancellation Of Centergize WEB Account (Continuing Customers)
In order to cancel your subscription with Centergize WEB the outlined steps must be taken. It is incumbent upon the client to seek assistance if the canceling procedure fails. Otherwise the standard rates will continue to apply and the account will remain active with Centergize WEB and Google. There can not be a refund, subject to US Consumer Law, of any monies taken from the client by Centergize WEB because of the failure of the client to unsubscribe and/or failure to unsubscribe without seeking assistance if any error occurs in the process. Similarly Centergize WEB can not be held accountable for transactions taking place with Google because of inactivity on the part of the client in regard to unsubscribing.

3. Once you have logged in you will see on the right hand side an “unsubscribe” button. Click on that button and your cancellation will be processed.

2. i) Cancellation Of Centergize WEB Account And Trial Period.
Your trial will automatically be extended to the normal service and subscription fees unless subscription is cancelled before the end of the trial period. The trial period starts when the email outlining steps for activation is sent upon creation of your finished account. It is incumbent upon the client to seek assistance if the canceling procedure fails. The following steps must be taken to avoid the commencement of the normal payment cycle. There can not be a refund, subject to Australian Consumer Law, of any monies taken by Centergize WEB because of the failure of the client to unsubscribe and/or failure to unsubscribe without seeking assistance if an error occurs in the process. Similarly Centergize WEB can not be held accountable for transactions taking place with Google because of inactivity on the part of the client in regard to unsubscribing.

3. Once you have logged in you will see on the right hand side an “unsubscribe” button. Click on that button and your cancellation will be processed. All information on your account will not be accessible after you Unsubscribe please keep your information and invoices printed if possible if any disputes about your records or account.

If you dont have access to our online services, you can stil send your cancellation by sending us an email with your letterhead and address and we will review your request. 

PRODUCT GUARANTEE and RETURNS

You acknowledge that Dr Gadgetz LLC. may immediately terminate your Account. Dr Gadgetz LLC. reserves the right to change the fees charged for it's services and payment methods at any time. You may terminate your Account at any time, however, you will not be refunded any Service fees already paid to Dr Gadgetz LLC. upon such termination. Any refunds will be at the discretion of Dr Gadgetz LLC. Google setup fees or any third party fees will not be refunded since they are already directly charged to Dr Gadgetz. Shipping and handling fees are not refundable.

Returned Products  or Hardware is not possible once the item has been ordered. In some cases, a 25% restocking charge will be given to returned hardware only upon the faulty of the equipment. All new equipment is excluded from any returns. Returns or refunds will take 60-120 days to process since most of our products are not returned to our vendors or manufacturers.
